§ 1 Scope of Application

1.1 These General Terms and Conditions (T&Cs) apply to all contracts between AlphaPrimeSolutions GmbH (hereinafter „AlphaPrimeSolutions“ or „Contractor“) and its customers (hereinafter „Customer“) for the provision of developers, technicians, IT, and web employees.

1.2 Deviating or supplementary terms of the Customer shall only apply if expressly acknowledged in writing by AlphaPrimeSolutions.

§ 2 Conclusion of Contract

2.1 The Customer can request the execution of an order in writing, by phone, or by email. AlphaPrimeSolutions will send an offer in text form. The contract is concluded by acceptance of the offer in text form.

2.2 The acceptance of the order occurs after a detailed disclosure of the task distribution, documented by a video call.

2.3 Deadlines and timeframes for performance are only binding if AlphaPrimeSolutions confirms them explicitly in writing.

2.4 The contract language is German.

§ 3 Scope of Services and Execution

3.1 The scope of services is defined by the respective contract, which includes the provision of developers, technicians, or web employees.

3.2 AlphaPrimeSolutions is entitled to use qualified third parties (e.g., subcontractors) to fulfill its contractual obligations.

3.3 AlphaPrimeSolutions undertakes to perform the services professionally, adhering to industry standards and the Customer’s specifications.

§ 4 Contract Duration and Termination

4.1 The contract duration is 6 months, 12 months, or 24 months.

4.2 The contract automatically renews for another year unless terminated in writing three months before the end of the contract.

4.3 The contract can be terminated by either party for good cause at any time in writing.

§ 5 Fees and Payment Terms

5.1 Staffing Services: The monthly fee for a developer, technician, or web employee starts from EUR 1,800 net, including all employer and employee costs.

5.2 Project Orders: A payment of two-thirds of the invoice amount in advance is required. The remaining balance is due after project handover and completion.

5.3 Regular Payments: For non-project services, payment is due in advance at the beginning of each month, no later than the 3rd calendar day.

5.4 In case of delayed payment, AlphaPrimeSolutions reserves the right to suspend services until payment is received.

§ 6 Customer’s Obligations to Cooperate

6.1 The Customer agrees to provide AlphaPrimeSolutions with all necessary information, documents, and work materials in a timely manner and free of charge.

6.2 The Customer ensures that a qualified contact person is available throughout the contract term.

6.3 If specific expertise or terminology is required, the Customer must inform AlphaPrimeSolutions in advance.

§ 7 Intellectual Property and Usage Rights

7.1 All rights to works created by AlphaPrimeSolutions (code, software, designs, etc.) remain with AlphaPrimeSolutions unless otherwise agreed in writing.

7.2 The Customer is granted a non-exclusive, non-transferable usage right to the created works, limited to the contractually agreed purpose.

§ 8 Liability and Warranty

8.1 AlphaPrimeSolutions is liable for damages caused by intentional or grossly negligent conduct. Liability for slight negligence is excluded unless it concerns essential contractual obligations.

8.2 AlphaPrimeSolutions is not liable for data loss unless caused by a failure to meet its data backup obligations.

8.3 Liability is limited to the contract value of the respective order.

§ 9 Data Protection and Confidentiality

9.1 AlphaPrimeSolutions commits to collecting, processing, and using the Customer’s personal data in compliance with applicable data protection laws (GDPR and BDSG).

9.2 Both parties agree to treat all information obtained during the collaboration confidentially and to use it only for the fulfillment of the contract.

§ 10 Final Provisions

10.1 Changes or additions to these T&Cs must be made in writing.

10.2 If any provision of these T&Cs is found to be invalid, the validity of the remaining provisions shall not be affected.

10.3 German law applies. The court of jurisdiction for merchants is Amtsgericht Berlin-Charlottenburg, Germany.
